Qualification Information:
At a minimum, a prospective investor must meet the definition of Accredited Investor. Please check below the item that best describes your status:
Individual
Individual net worth, or joint net worth with spouse, in excess of $1,000,000.
Individual income of more than $200,000 for each of the past two years or joint income with spouse in excess of $300,000 in each of those years; and the reasonable expectation of achieving the same individual or joint income level in the current year.
Entity
Broker/dealer registered under the Securities Exchange Act of 1934.
Total assets in excess of $5,000,000 and were not formed for the specific purpose of investing in the Fund
All of the equity owners and participants are accredited investors.
Trust with total assets in excess of $5,000,000 no formed for the specific purpose of investing in the Fund.
Revocable Trust and all grantors are accredited investors.
Bank.
Investors must also meet the definition of Qualified Client under Rule 205-3 of the Investment Advisers Act of 1940:
A natural person with an individual, or together with spouse, with net worth of more than $1,500,000; or
Qualified Purchaser as defined under the Investment Company Act of 1940, i.e.,
  • individually or jointly with spouse own not less than $5,000,000 in investments;
  • an entity which was not formed for specific purpose of investing in the fund, is acting for its own account or the accounts of other Qualified Purchasers, and owns and/or invests on a discretionary basis not less than $25,000,000 in investments;
  • an entity owned by two or more natural persons who are related, owns not less than $5,000,000 in investments, and was formed for the specific purpose of investing in the fund ("Family Company"); or
  • Trust not formed for the specific purpose of investing in the fund and in which the trustee and each settler is a Qualified Purchaser.
